UCC Copies & Certificates

To view and download "unofficial" document images of UCC and federal tax lien filings, visit the Clerk's Information System (CIS).

The Clerk’s Office fulfills requests for searches and certified and noncertified copies of Uniform Commercial Code (UCC) and federal tax lien documents of record in the office.

The UCC-11 Information Request can be made online through CIS.

To obtain a copy of a document by mail, please forward a completed, paper Information Request Form (UCC11) and a check or money order payable to “State Corporation Commission” for the appropriate fees to:

International Association of Commercial Administrators (IACA) has compiled a chart entitled Jurisdictions Guidelines for Accepting a UCC Record for Filing that reflects acceptance rules for participating jurisdictions.

  1. What does "UCC" stand for?
    Uniform Commercial Code.
  2. Where can UCC forms and fees be found?
    Use the Clerk's Information System (CIS) to file online. To download paper forms and ascertain fees, visit our UCC Forms and Fees section.
  3. What type of UCC filings can be made online?
    Use CIS to file Initial Financing Statements (UCC-1) and Financing Statement Amendments (UCC-3), and for Information Requests (UCC-11).
  4. What payment methods are accepted?
    Online payments may be made by credit card and echeck. Mailed payments may be made by check and money order. In-person payments made in the Clerk’s Office may be made by credit card, check, money order, and cash. (Please do not mail cash.) 
  5. Where can information be found regarding UCC Tax Liens Searches?

  6. Can UCC filings be viewed online?
    Yes, visit CIS to view filings online.
  7. What documentation does the Clerk’s Office return to a customer who files a UCC statement?
    A receipt letter and a copy of the filing are returned.
  8. Does the index of UCC filings also include Tax Liens filing?
    UCC and Tax Lien searches can be performed as separate or combined searches.
  9. What information is returned with the results from a UCC search?
    A search report includes the date of the search, the search criteria, number of records found, the type of search performed and data about the filing chains found. Filing chain data include the initial file number, debtor name(s), secured party name(s) and any associated subsequent filings.

Insurance Regulations

  • Regulations are administrative laws. In Virginia, insurance regulations are promulgated by the State Corporation Commission. Virginia insurance regulations are found in Title 14 of the Virginia Administrative Code.
    • The Virginia Administrative Code (VAC) website may not be updated to include the latest regulations. To view proposed or final regulations that have not been posted to the VAC website, please review the appropriate Commission order.

Administrative Actions

  • Use the Commission's Docket Search feature to search documents regarding administrative actions for agents, agencies and companies.
    • Search options are available by Case Number or Case Name. Enter the appropriate case number or agent/agency/company name and click "Search." After selecting the appropriate case number from the list, a summary screen will appear. Select the "Documents" field to download/print the selected PDF file.
    • NOTE: Documents filed prior to April 2002 will not be displayed. If you need certified documents or documents filed prior to 2002, please contact the Document Control Center of the Office of the Clerk of the Commission at (804) 371-9838.

Introduction to CIS

Welcome to the Clerk's Information System (CIS), an online tool that allows the public to search for key business information and helps businesses to more quickly and easily make payments and submit most filings required under Virginia law.

Investments

 

Access information about investment advisors, brokers, broker-dealers and agents, investment firms and individuals, securities or franchises registered for sale, and trademarks and service marks registered in Virginia.

Business Entity Names

A person may reserve the exclusive use of an available business entity name for a period of 120 days by filing an application with the Commission, which includes paying a filing fee of $10. The reservation can be for a Virginia or foreign business entity and may be renewed for successive periods of 120 days during the 45-day period preceding the date of a reservation’s expiration. If the reservation is not renewed within the 120 day period, the exclusive use of the business entity name will be revoked.

Applications for a name reservation or a renewal of a name reservation may be filed online in CIS. Downloadable forms are available for the various business entities on our Forms & Fees page.

A foreign corporation, before it receives a certificate of authority to transact business in Virginia, may register its corporate name for a period of one year by filing an application and a certificate of good standing with the Commission and paying a filing fee of $25. The certificate of good standing, or a document of similar import, must be issued by the custodian of corporate records in the state or other jurisdiction under whose laws the corporation is incorporated.

A foreign stock corporation may also register its corporate name with a corporate designator (e.g., “Inc.”) added, if one is not part of its true name. The registration can be renewed for successive one year periods during the 60-day period preceding the date of a registration’s expiration.

An application for a name registration or a renewal of a name registration is available for foreign corporations online in CIS or on form SCC632/831.

You may file your foreign business registration online through the CIS or file manually using our forms at  foreign entity forms and fees.  Please review the Foreign-Registration-Checklist to ensure you have all necessary information and documentation.
